Terms of Service
These terms govern your use of CogniSphere and its AI-powered agent tools.
Last updated: August 24, 2026
1. Agreement to these terms
These Terms of Service ("Terms") form an agreement between you and CogniSphere ("CogniSphere," "we," "us," or "our") and govern your use of our website, applications, agents, integrations, and related services (the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to accept these Terms for that organization.
2. Eligibility and accounts
You must be legally able to enter into these Terms and provide accurate, current account information. You are responsible for protecting your credentials, for activity under your account, and for promptly notifying us of any unauthorized use.
3. The Service
CogniSphere provides tools that help you configure and use AI agents. Features may be offered on a preview, beta, or experimental basis, and may change, be limited, or be discontinued. We will use reasonable efforts to maintain the Service, but do not guarantee uninterrupted availability or that every output, automation, or integration will work as intended.
4. Connected accounts and agent actions
The Service may let you connect third-party accounts, including Google, Gmail, Google Calendar, Microsoft Outlook, Microsoft 365, and other services, through OAuth or another approved authorization method. You authorize CogniSphere to access and use only the data and permissions you approve in order to provide the features you request or configure.
You remain responsible for reviewing the permissions you grant, the instructions and automations you configure, and the outputs and actions of agents operating on your behalf. Agent features may create, change, send, organize, or delete content in a connected account when authorized by the permissions and configuration you provide. Do not connect an account or enable an action unless you have the authority to do so.
5. Your content and responsibilities
You retain ownership of content you submit to or make available through the Service ("Your Content"). You grant us a limited, non-exclusive right to host, process, transmit, and display Your Content solely to operate, secure, support, and improve the Service as described in our Privacy Policy. You represent that you have all rights, permissions, and lawful bases needed to provide Your Content and to authorize our processing of it.
6. Acceptable use
You may not use the Service to:
- violate law, infringe rights, or breach another service's terms or security requirements;
- access, modify, or disclose data without authorization;
- send spam, malware, deceptive content, or harmful automated communications;
- circumvent rate limits, authentication, access controls, or technical restrictions;
- use the Service to build, train, or benchmark a competing service except as expressly permitted; or
- interfere with the Service or use it in a way that risks harm to people, systems, or data.
7. Third-party services
Third-party services are governed by their own terms, privacy policies, and availability. CogniSphere is not responsible for third-party services or changes they make. You must comply with the terms that apply to each connected account, including Google and Microsoft terms and policies.
8. AI outputs
AI-generated outputs can be inaccurate, incomplete, or inappropriate for your circumstances. You are responsible for independently reviewing outputs and decisions before relying on them or taking action. The Service is not legal, financial, medical, employment, or other professional advice, and must not be used as the sole basis for decisions that could materially affect a person's rights, safety, or opportunities.
9. Intellectual property and feedback
CogniSphere and its licensors own the Service, including its software, design, and branding. Subject to these Terms, we grant you a limited, non-transferable, revocable right to use the Service. If you provide feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNISPHERE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNISPHERE AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR US$100 IF YOU PAID NOTHING.
12. Suspension and termination
You may stop using the Service at any time and disconnect linked accounts. We may suspend or terminate access if we reasonably believe you have violated these Terms, created risk for us or others, or if required by law. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and dispute-related provisions.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms here and revise the date above. If a change is material, we will provide additional notice where required. Your continued use of the Service after the updated Terms take effect means you accept them.
